Promoter Agreement
Agreement for Authorized Exclusivité Skin Promoters
This Promoter Agreement (“Agreement”) governs participation in the Exclusivité Skin Promoter Program. By submitting an application, accessing the Promoter Portal, or acting as a Promoter, you agree to the terms outlined below.
This Agreement applies only to approved Promoters and does not grant rights to purchase, retail, or distribute products.
1. Promoter Eligibility and Approval
Promoter participation is limited to individuals approved by Exclusivité Skin.
Applicants must:
- Be at least 18 years of age
- Provide accurate and complete application information
- Meet internal approval criteria established by Exclusivité Skin
Approval is granted at the sole discretion of Exclusivité Skin and may be revoked at any time.
2. Promoter Application, Verification, and Monitoring
Exclusivité Skin may:
Verify application details
Request additional information
Review Promoter activity for compliance
Providing false, misleading, or incomplete information may result in denial or termination of Promoter status.
3. Scope of Promoter Role
Promoters are authorized solely to:
Introduce Exclusivité Skin to qualified professional Partners
Share approved educational and marketing materials
Support Partner onboarding through approved channels
Promoters may not:
Sell products directly to consumers
Process orders or collect payments
Provide medical advice or clinical guidance
Make unapproved claims or representations
4. Independent Contractor Status
Promoters operate as independent contractors.
Nothing in this Agreement creates an employment relationship, partnership, franchise, or agency.
Promoters are responsible for all taxes, insurance, expenses, and legal obligations related to their activities.
5. Brand Representation and Conduct
Promoters must represent Exclusivité Skin professionally and accurately.
Prohibited actions include:
Misrepresentation of products or company status
Use of unapproved marketing language
Implying guaranteed outcomes or medical claims
Representing themselves as employees or executives
All communications must align with approved brand guidelines.
6. Marketing and Brand Usage
Promoters may use approved logos, trademarks, and marketing materials solely for authorized Promoter activities.
Unauthorized advertising, paid media, claim modification, or branding changes are prohibited.
Brand usage permissions may be revoked at any time.
7. Confidentiality
Promoters may receive confidential information, including pricing structures, Partner data, training materials, and internal processes.
Confidential information must not be disclosed, shared, or used outside approved Promoter activities.
Confidentiality obligations survive termination.
8. Compensation and Commissions
Commission eligibility, rates, and payment schedules are defined separately and may be updated at any time.
Commissions are earned only on approved Partner accounts and qualifying transactions.
Violations of this Agreement may result in withheld or revoked commissions.
9. Compliance and Legal Responsibility
Promoters must comply with all applicable laws and regulations.
Promoters are solely responsible for ensuring their activities remain compliant within their jurisdiction.
Exclusivité Skin is not responsible for unauthorized actions taken by Promoters.
10. Prohibited Activities
Promoters may not:
Alter pricing or offer incentives without authorization
Represent competitive or conflicting brands without disclosure
Engage in deceptive or unethical sales practices
Use Exclusivité Skin materials after termination
11. Termination of Promoter Status
This Agreement remains in effect until terminated.
Exclusivité Skin may suspend or terminate Promoter status at any time, with or without cause.
Upon termination, Promoters must immediately cease use of all brand materials and representations.
12. Limitation of Liability
Exclusivité Skin is not liable for indirect, incidental, or consequential damages related to Promoter participation.
Promoters assume all risks associated with their independent activities.
13. Indemnification
Promoters agree to indemnify and hold harmless Exclusivité Skin, Factor 14, and their affiliates from claims arising from:
Misrepresentation
Unauthorized activities
Violation of this Agreement
14. Governing Law
This Agreement is governed by the laws of the United States and Canada.
Where legally permitted, disputes will be resolved under the laws of the State of Florida, USA or the Province of Ontario, Canada, at our discretion.
15. Changes to This Agreement
Exclusivité Skin may update this Agreement at any time.
Continued participation constitutes acceptance of any revised terms.
16. Promoter Portal Access and Use
Access to the Promoter Portal is granted solely for approved Promoter activities.
Sharing login credentials or misuse of portal resources is prohibited.

18. Promoter Portal Access and Use
Approved Promoters are granted access to the Exclusivité Skin Promoter Portal for the purpose of managing approved Promoter activities, accessing training materials, tracking approved Partner referrals, and reviewing commission related information.
Portal access is personal and non transferable. Promoters may not share login credentials or allow access by any third party.
Promoters agree to use the Promoter Portal only for authorized activities and in accordance with this Agreement. Unauthorized use, including but not limited to data scraping, misuse of confidential information, or interference with system functionality, is strictly prohibited.
Exclusivité Skin reserves the right to monitor portal usage, suspend access, or revoke Promoter Portal privileges at any time, with or without notice, for security, compliance, or operational reasons.
Upon termination of Promoter status, access to the Promoter Portal will be immediately revoked.
