Agreement for Authorized Exclusivité Skin Partners

 
This Wholesale Partner Agreement governs the relationship between Exclusivité Skin, referred to as “we,” “us,” or “our,” and approved wholesale Partners, referred to as “you” or “Partner.”
By submitting a Partner Application, being approved as a Partner, or maintaining Partner status, you agree to the terms outlined in this Agreement.
This Agreement applies only to approved wholesale Partners. Separate agreements apply to Pros and other roles.
1. Partner Eligibility and Approval

Partner status is available only to qualified businesses such as spas, clinics, med spas, wellness practices, and professional skincare providers.
We reserve the right to determine eligibility at our discretion.

We may request business verification documents including licenses, certifications, business registrations, or any other relevant information.
We may approve, deny, suspend, or revoke Partner status at any time.

2. Partner Application, Verification, and Information Handling

By submitting a Partner Application, you confirm that:

  • all information provided is truthful, accurate, and complete
  • you are authorized to act on behalf of the business
  • you understand that your information will be reviewed for eligibility

You agree to the following:

A. Review and Verification

We may review your application details, verify business legitimacy, and assess eligibility.

B. Right to Request Additional Information

We may request additional documents or clarification at any time.

C. Approval or Denial

Submission of an application does not guarantee approval.
Approval is granted at our discretion.

D. Ongoing Accuracy

You must maintain accurate Partner information.
Any changes must be reported promptly.

E. False Information

If any information is found to be false, incomplete, or misleading, we may deny the application or revoke Partner status.

F. Data Handling

Partner Application information is collected, used, and stored according to our Privacy Policy.
This includes retention for administrative, compliance, and fraud prevention purposes.

G. Confidentiality

Your application information will be kept confidential except as permitted by our Privacy Policy or required by law.

H. No Obligation

We are not obligated to approve any application or maintain Partner status.

3. Account Responsibilities

Partners must keep login credentials secure.
Only authorized staff may access the Partner account.
You are responsible for all activity conducted under your account.

4. Wholesale Ordering Requirements

All wholesale orders must be prepaid.
Payment must be received before any order is processed or shipped.
Orders are confirmed only when payment is received and accepted.
We may limit or deny orders for policy violations.

5. Pricing, Confidentiality, and MAP Requirements
A. Wholesale Pricing

Wholesale pricing is confidential and may not be shared publicly.

B. MAP Compliance

Partners must follow the Minimum Advertised Price, MAP, for all public advertising including their own website.
Partners may not advertise any price below MAP.

C. Enforcement

MAP violations may result in suspension or termination of Partner status.

6. Permitted Sales Channels

Partners may sell Exclusivité Skin products:

  • inside their physical business location

  • on their official business website

Partners are strictly prohibited from selling on third party marketplaces including but not limited to:

  • Amazon

  • Walmart

  • eBay

  • Etsy

  • Facebook Marketplace

  • Instagram Shops

  • TikTok Shops

  • any other marketplace platform

Unauthorized marketplace sales may result in immediate termination.

7. Product Use, Storage, and Representation

Products must be stored and handled according to provided guidelines and industry standards.
Partners may not alter, repackage, rebrand, or relabel products.
Partners must present products responsibly and may not make misleading, inaccurate, or unapproved claims.
Partners are responsible for ensuring compliance with applicable regulations in their region.

8. Marketing and Brand Usage

Partners may use official marketing materials provided by Exclusivité Skin.
Partners may create their own materials, provided that:

  • content is accurate

  • no unapproved claims are made

  • materials reflect the brand correctly

  • regulatory compliance is maintained

Logos, trademarks, and brand assets may not be altered without written permission.

9. Returns, Damages, and Exchanges

Opened, used, or altered products are not eligible for return.
Damaged, defective, or incorrect shipments must be reported within 7 days of receipt with photos.
Approved replacements or credits will be issued for verified issues.

10. Compliance and Professional Responsibility

Partners are responsible for:

  • proper use of products within their business

  • educating their staff on correct product usage

  • complying with local, state, provincial, and federal regulations

  • ensuring accurate representation of product features and benefits

Partners may not present Exclusivité Skin products in a way that violates applicable regulations.

11. Termination of Partner Status

We may suspend or terminate Partner status for:

  • MAP violations

  • unauthorized marketplace sales

  • inaccurate or misleading claims

  • misuse of branding or marketing assets

  • noncompliance with regulations

  • false or fraudulent application information

  • unethical or disruptive conduct

  • any breach of this Agreement

Upon termination, all Partner access privileges end immediately.

 
12. Limitation of Liability

Exclusivité Skin is not responsible for:

  • misuse or improper application of products

  • storage errors or handling issues

  • outcomes experienced by Partner clients

  • revenue loss or business interruption

  • Partner compliance with regulations

Your sole remedy under this Agreement is termination of Partner status.

13. Confidentiality

All wholesale pricing, training materials, Partner Portal content, internal documents, and nonpublic information are confidential.
You may not disclose, copy, or distribute confidential information without written permission.

14. Governing Law

This Agreement is governed by the laws of the United States and Canada.
Where legally permitted, disputes will be resolved under the laws of the State of Florida, USA or the Province of Ontario, Canada, at our discretion.

15. Changes to This Agreement

We may update this Agreement at any time.
Continued participation in the Partner program signifies acceptance of updated terms.

17. Partner Portal Access and Use

Approved Partners may receive access to the Exclusivité Skin Partner Portal.
Portal access is provided solely for business activities related to the Partner program.

By accessing the Portal, you agree to the following:

A. Authorized Users Only

Portal login credentials may only be used by authorized staff within your business.
Sharing login details outside your business is prohibited.

B. Security and Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all actions taken under your account.
You must notify us immediately if you suspect unauthorized access.

C. Confidential Materials

All materials inside the Portal are confidential. This includes but is not limited to:

  • wholesale pricing

  • internal product information

  • training resources

  • MAP documents

  • marketing assets

  • promotional files

  • educational or instructional content

These materials may not be copied, redistributed, or shared outside your business without written permission.

D. Restrictions on Use

You agree not to:

  • scrape, extract, or automate downloads from the Portal

  • share Portal content with non Partners

  • upload Portal content to any marketplace or unauthorized sales channel

  • alter or misrepresent any Portal materials

  • use Portal content to create unauthorized marketing materials

E. Updates and Changes

Portal content may be added, removed, or updated at any time.
We do not guarantee continuous or uninterrupted Portal access.

F. Termination of Access

Portal access will be revoked immediately if:

  • Partner status is suspended or terminated

  • MAP violations occur

  • marketplace sales occur

  • confidential information is misused

  • this Agreement is breached

Access may also be suspended temporarily during maintenance or system updates.

G. Compliance

Use of the Portal signifies agreement to follow this Agreement, the Privacy Policy, the Disclaimer, and all Exclusivité Skin brand standards.
